How can I modify the template or layout of Maintenance page in Magento 1.9 ??? and will be shown if my site is under construction.

But I have another question, Can I overwrite this file??

and Where can I place it if ever?

You can overwrite it but if you perform any upgrades to Magento it may get put back to default.

I'm not personally aware of a clean override method for Magento 1.x

PS: Where possible you should try using Magento 2.x as there is tons of feature and security benefits to moving. Appreciate if this is a live store your working on that might not always be viable.
